User Agreement & Software License

By creating an account and using AquaLogic IQ, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.

Ownership of Software

AquaLogic IQ ("Software") is the exclusive property of Aqua Logic Limited ("Company"), a Pennsylvania limited liability company. All rights, title, and interest in and to the Software — including all algorithms, calculations, workflows, designs, backend processes, and generated outputs — remain solely with the Company.

This Agreement grants the user a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely in accordance with these terms.

Purpose of the Software

AquaLogic IQ is provided strictly as an engineering assistance and estimation tool. The Software is designed to:

  • Provide pump recommendations for temporary water transfer systems
  • Generate estimated pressure profiles
  • Assist in the planning and bidding of temporary water transfer operations
  • Produce informational reports for internal use

Not Professional Engineering Services

The Software does NOT constitute professional engineering services and does NOT replace a licensed Professional Engineer (PE). Outputs generated by the Software are NOT a substitute for stamped engineering drawings, certified designs, or formal engineering review.

Users are solely responsible for determining whether professional engineering review or certification is required for any given project or application.

Regulatory Compliance Responsibility

The user acknowledges and agrees that the Software does NOT ensure compliance with any local, state, or federal regulations, including but not limited to those enforced by:

  • The Environmental Protection Agency (EPA)
  • The Department of Environmental Protection (DEP)
  • Any applicable permitting authority or environmental body

The user is solely and exclusively responsible for ensuring that all applicable regulations, permits, and compliance standards are identified and met prior to field implementation.

Accuracy & Limitations

All outputs generated by AquaLogic IQ are estimates only. Results are based on user-provided data inputs and are subject to assumptions, modeling limitations, and system constraints. The Company makes no guarantees regarding the accuracy, completeness, or real-world performance of any output.

Users must independently verify all outputs before relying on them for any operational, engineering, or financial decision.

Assumption of Risk

USE OF THIS SOFTWARE IS ENTIRELY AT THE USER'S OWN RISK. The user assumes full and sole responsibility for:

  • Verifying all data inputs prior to submission
  • Confirming pump sizing, pressure calculations, and system design outputs
  • Conducting field validation and ensuring operational safety
  • All final engineering decisions made in connection with use of the Software

Any decision made in reliance on Software outputs is made at the user's own risk and without recourse to the Company.

Beta Access & Evaluation Period

Certain users may be granted access to the Software during a beta or trial evaluation period. During this period:

  • The Software may be incomplete, under active development, or subject to significant change
  • Features, outputs, and functionality may be modified, removed, or added without notice
  • Performance and accuracy may not reflect the final commercial release
  • Users are encouraged to submit feedback, suggestions, and feature requests

All feedback, suggestions, and feature requests submitted during or after the beta period shall become the sole property of Aqua Logic Limited, without any obligation of compensation, credit, or attribution to the user.

Beta access does not guarantee continued access, and the Company reserves the right to modify, restrict, or terminate beta access at any time without notice.

Limitation of Liability

To the fullest extent permitted by applicable law, Aqua Logic Limited shall NOT be liable for any damages arising from use of or reliance on the Software, including but not limited to:

  • Equipment failure or improper system design
  • Financial loss, project delays, or cost overruns
  • Environmental damage or regulatory violations
  • Personal injury or property damage
  • Any consequential, incidental, indirect, punitive, or special damages

This limitation applies even if the Company has been advised of the possibility of such damages.

Indemnification

The user agrees to indemnify, defend, and hold harmless Aqua Logic Limited and its members, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • The user's use or misuse of the Software
  • Reliance on any output, recommendation, or report generated by the Software
  • The user's failure to verify results, engage a licensed engineer where required, or comply with applicable regulations

No Warranty

The Software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or uninterrupted availability. The Company does not warrant that the Software will be error-free or available at all times.

License Restrictions

Users may NOT, under any circumstances:

  • Copy, resell, sublicense, or redistribute the Software or any portion thereof
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying logic
  • Use insights gained from the Software to develop, assist in developing, or improve any competing product, tool, or process
  • Use the Software for any unlawful, deceptive, or unauthorized purpose
  • Share login credentials or account access with any third party

Account Termination

The Company reserves the right to suspend or permanently terminate any user account at its sole discretion, including but not limited to cases of:

  • Violation of any term of this Agreement
  • Non-payment of applicable subscription fees
  • Suspected misuse, reverse engineering, or unauthorized sharing

Upon termination, the user's license to access the Software is immediately revoked. The Company's obligations regarding user data following termination are described in the Privacy Policy.

Subscription & Payment Terms

Access to the Software beyond any trial or beta period requires a paid subscription. By subscribing, the user agrees to the following:

  • Subscription fees are billed on the cycle selected at the time of enrollment
  • Subscriptions automatically renew unless cancelled prior to the renewal date
  • The Company reserves the right to adjust pricing with reasonable advance notice to active subscribers
  • Refund eligibility is determined on a case-by-case basis at the Company's discretion
  • All payment processing is handled securely through Stripe. The Company does not store or have access to payment card information

Failure to maintain a current subscription will result in suspension of access until payment is resolved.

Modifications to Terms

The Company reserves the right to update or modify this Agreement at any time. Users will be notified of material changes via email or in-app notification. Continued use of the Software following notice of changes constitutes acceptance of the updated terms.

Users who do not agree with updated terms should discontinue use and contact support@aqualogic.app to request account closure.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of Westmoreland County, Pennsylvania.

No Obligation

Neither the granting of trial or beta access nor any demonstration of the Software creates any obligation on the part of either party to enter into any further agreement, subscription, or business relationship.

Acceptance of Terms

By creating an account and using AquaLogic IQ, the user acknowledges that they have read and understood this Agreement, accept all terms and conditions herein, and assume full responsibility for their use of the Software.
